These Terms and Conditions ("Terms") govern your access to and use of the website located at https://xverse.digital ("Website") and all services offered therein, including the AiReady diagnostic tool ("Platform"), operated by Xverse Digital FZE("Company", "we", "us", or "our").
By accessing or using the Platform in any manner, including but not limited to browsing the Website, completing the AiReady assessment, or submitting an enquiry for a paid Deep Dive assessment, you ("User", "you", or "your") acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must immediately discontinue your use of the Platform.
These Terms constitute a legally binding agreement between you and Xverse Digital under the laws of the United Arab Emirates. Your continued use of the Platform following any update or amendment to these Terms shall be deemed acceptance of the revised Terms.
Xverse Digital is a technology and advisory business operating in Dubai, United Arab Emirates. We specialise in helping organisations understand, prepare for, and adopt artificial intelligence solutions relevant to their strategic and operational needs.
AiReady is a free, no-login AI readiness diagnostic tool available through the Platform. It is designed to help business leaders and decision-makers gain a high-level understanding of their organisation's current readiness to adopt and leverage artificial intelligence technologies.

In addition to the free AiReady diagnostic tool, the Platform offers users the option to submit an enquiry regarding a paid Deep Dive assessment service ("Deep Dive"). The Deep Dive is a more comprehensive, human-led engagement conducted by Xverse Digital consultants and is subject to separate terms, scoping, and pricing agreed between Xverse Digital and the prospective client at the time of engagement.
Submitting an enquiry for the Deep Dive does not constitute a binding contract, commitment, or guarantee of service delivery. Any engagement for a paid Deep Dive assessment will be formalised through a separate written agreement between you and Xverse Digital.

You acknowledge that the quality and relevance of the generated report are directly dependent on the accuracy and honesty of your responses. Xverse Digital accepts no responsibility for reports generated on the basis of inaccurate, misleading, or incomplete information provided by the user.
You agree that you will not use the Platform for any purpose that is unlawful, harmful, or otherwise prohibited by these Terms. Without limiting the generality of the foregoing, you must not:
You are solely responsible for all activities undertaken through your use of the Platform. You agree to use the Platform only for its intended purpose, namely to obtain an indicative understanding of your organisation's AI readiness, and for no other purpose inconsistent with these Terms.
All content available on or through the Platform, including but not limited to text, graphics, logos, icons, images, audio and video clips, data compilations, assessment questions, report templates, diagnostic frameworks, software, and the overall design and structure of the Platform ("Content"), is the exclusive property of Xverse Digital and is protected by applicable intellectual property laws, including copyright, trademark, and trade secret laws of the United Arab Emirates and international conventions.

Subject to your compliance with these Terms, Xverse Digital grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform and to view and download your personalised report solely for your own internal business purposes. This licence does not permit you to use any Content for commercial purposes, redistribute Content to third parties, or use the Platform in any way not expressly permitted by these Terms.
No Content from the Platform may be copied, reproduced, republished, uploaded, posted, transmitted, or distributed in any form without the prior written permission of Xverse Digital, except as expressly permitted under the limited licence described in Clause 5.2 above. Any unauthorised use of Content may give rise to a claim for damages and may constitute a criminal offence under applicable UAE law.
By submitting responses through the AiReady assessment or any enquiry form on the Platform, you grant Xverse Digital a non-exclusive, royalty-free licence to process and use your submitted information for the sole purposes of generating your personalised report, responding to your enquiry, improving the Platform, and as otherwise described in our Privacy Policy. You retain ownership of any underlying proprietary information you provide, and Xverse Digital will handle such information in accordance with its Privacy Policy.
The results, reports, scores, observations, and any other output generated by the AiReady tool are provided for general informational and indicative guidance purposes only. They represent an automated, high-level snapshot based solely on your self-reported responses to a standardised set of questions.
The assessment results and any content provided through the Platform do not constitute, and must not be relied upon as, professional advice of any kind, including but not limited to:
No consultant, advisor, lawyer, financial adviser, or technical expert from Xverse Digital has reviewed your individual circumstances in connection with the AiReady free assessment. The report generated is produced entirely by automated logic applied to your submitted responses.
Your use of the AiReady tool does not create any professional, advisory, consultancy, fiduciary, or contractual relationship between you and Xverse Digital beyond what is expressly set out in these Terms.
Xverse Digital strongly recommends that before making any significant business, technology, financial, legal, or strategic decision, you seek qualified professional advice tailored to your specific circumstances. The AiReady assessment is intended as a starting point for reflection and conversation, not as a basis for making material decisions without further expert input.
The Platform and all Content are provided on an "as is" and "as available" basis without any representations or warranties of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by applicable UAE law, Xverse Digital expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, and non-infringement.
Xverse Digital does not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components, or that any defects will be corrected.
To the fullest extent permitted under the laws of the United Arab Emirates, Xverse Digital, its directors, officers, employees, agents, partners, and licensors shall not be liable to you or any third party for any:

Xverse Digital has no control over the content, privacy practices, or terms of such third-party websites and does not endorse, warrant, or accept any responsibility for them. Your access to and use of any linked third-party website is entirely at your own risk and subject to the terms and conditions of that website.
Xverse Digital is committed to protecting your privacy. Any personal information or data collected through your use of the Platform is handled in accordance with our Privacy Policy, which is incorporated into these Terms by reference and is available on the Website at https://xverse.digital.
By using the Platform, you acknowledge that you have read and understood our Privacy Policy and consent to the collection, use, and processing of your information as described therein. As the AiReady tool does not require login or account creation, the data collected is limited to your assessment responses and any information voluntarily submitted through an enquiry form.
Xverse Digital processes data in a manner consistent with applicable data protection legislation and principles in the United Arab Emirates, including the UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data.
Xverse Digital reserves the right, at its sole discretion and without prior notice, to modify, suspend, discontinue, or restrict access to the Platform or any part thereof at any time. Xverse Digital shall not be liable to you or any third party for any such modification, suspension, or discontinuation.

These Terms and any dispute, claim, or matter arising out of or in connection with them, including their formation, interpretation, validity, performance, or termination, shall be governed by and construed in accordance with the laws of the United Arab Emirates, and where applicable, the laws of the Emirate of Dubai.
You irrevocably agree that the courts of the Emirate of Dubai, United Arab Emirates shall have exclusive jurisdiction to settle any dispute, claim, or matter arising out of or in connection with these Terms or your use of the Platform. You submit to the personal jurisdiction of those courts and waive any objection to proceedings in those courts on the grounds of venue, inconvenient forum, or otherwise.
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid, lawful, and enforceable. If such modification is not possible, the relevant provision shall be deemed deleted. Any such finding shall not affect the validity and enforceability of the remaining provisions of these Terms, which shall continue in full force and effect.
These Terms, together with the Privacy Policy and any other legal notices published by Xverse Digital on the Platform, constitute the entire agreement between you and Xverse Digital with respect to your use of the Platform and supersede all prior agreements, representations, warranties, and understandings, whether written or oral, relating to the same subject matter.
No failure or delay by Xverse Digital in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy. No single or partial exercise of any right, power, or remedy shall preclude any other or further exercise of that right, power, or remedy or the exercise of any other right, power, or remedy.
